Agreement to Terms

BY ACCESSING, BROWSING, OR USING THE WEBSITE, CREATING AN ACCOUNT, MAKING A PURCHASE, OR OTHERWISE ENGAGING WITH OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND UNCONDITIONALLY AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS IN THEIR ENTIRETY, TOGETHER WITH OUR PRIVACY POLICY, FULFILLMENT AND SHIPPING POLICY, AND ANY OTHER POLICIES OR OPERATING RULES POSTED ON THE SITE, ALL OF WHICH ARE INCORPORATED HEREIN BY REFERENCE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LUMI BY LUMIERE LLC, ITS FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER ARISING OUT OF OR IN ANY WAY CONNECTED WITH:

(a) Your use of, or inability to use, the Site or any products;

(b) Any adverse reaction, allergy, sensitivity, injury, illness, or health condition allegedly caused by or connected to any product;

(c) Any error, omission, inaccuracy, or misrepresentation in product descriptions, pricing, or other Site content;

(e) Any unauthorized access to or breach of your personal information, except to the extent caused by our gross negligence or willful misconduct;

IN NO EVENT SHALL LUMI BY LUMIERE LLC'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE TOTAL AMOUNT PAID BY YOU, IF ANY, FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

1. No Warranties; As-Is Basis

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LUMI BY LUMIERE LLC EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

Lumi by Lumiere LLC does not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that any defects will be corrected.

1. Assumption of Risk

You expressly acknowledge and agree that your use of the Site and your purchase, use, or consumption of any products is entirely at your own risk. You assume full and complete responsibility for:

(a) Conducting your own due diligence regarding product ingredients, including reviewing all ingredient lists for potential allergens before use;

(b) Performing a patch test on a small area of skin at least 24 hours prior to full application of any product;

(c) Consulting a qualified healthcare professional regarding any pre-existing conditions, allergies, sensitivities, or health concerns before using any products, including if you are pregnant or nursing;

(d) Any and all consequences resulting from your use or misuse of our products.

1. Allergen Disclaimer

YOU ACKNOWLEDGE AND AGREE THAT OUR PRODUCTS CONTAIN NATURAL BOTANICALS, ESSENTIAL OILS, AND OTHER INGREDIENTS THAT MAY CAUSE ALLERGIC REACTIONS, SENSITIVITIES, OR SKIN IRRITATION IN CERTAIN INDIVIDUALS. IT IS YOUR SOLE AND EXCLUSIVE RESPONSIBILITY TO CAREFULLY REVIEW ALL INGREDIENT LISTS PROVIDED ON PRODUCT PAGES, PACKAGING, AND ACCOMPANYING DOCUMENTATION BEFORE USE. LUMI BY LUMIERE LLC SHALL BEAR NO RESPONSIBILITY OR LIABILITY WHATSOEVER FOR ANY ALLERGIC REACTION, ADVERSE SKIN RESPONSE, OR OTHER INJURY RESULTING FROM YOUR USE OF ANY PRODUCT.

1. Indemnification

You agree to indemnify, defend, and hold harmless Lumi by Lumiere LLC, its founders, officers, directors, employees, affiliates, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

(a) Your use of the Site or any products;

(b) Your violation of these Terms;

(c) Your violation of any third-party rights, including without limitation any intellectual property, privacy, or publicity rights;

(d) Any claim that your use of a product caused damage or injury to a third party.

1. Force Majeure

Lumi by Lumiere LLC shall not be held liable for any delay or failure to perform obligations under these Terms resulting from causes or events beyond its reasonable control, including but not limited to acts of God, severe weather, natural disasters, pandemics or epidemics, governmental actions, war, terrorism, civil unrest, labor disputes, supply chain disruptions, power outages, or internet service interruptions.

1. Pricing, Payment, and Chargebacks

All prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to modify, suspend, or discontinue any product or pricing at any time. In the event a product is listed at an incorrect price due to typographical error, we reserve the right to refuse or cancel any order placed for such product, regardless of order confirmation status.

You agree to provide current, complete, and accurate purchase and account information for all purchases made on the Site. You represent and warrant that you are authorized to use the payment method provided. You agree to pay all charges incurred by users of your account and payment method at the prices in effect when such charges are incurred. You remain responsible for any uncollected amounts, including all costs and expenses incurred by us in connection with the collection of any unpaid balances or the resolution of any payment disputes, including reasonable attorneys' fees and chargeback processing fees. You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for any dispute arising out of or relating to these Terms or your use of the Site or any products.

1. Dispute Resolution and Binding Arbitration

The following provisions shall survive any termination or expiration of these Terms: Section 4 (No Medical or Therapeutic Guarantee), Section 5 (Limitation of Liability), Section 6 (No Warranties), Section 7 (Assumption of Risk), Section 8 (Allergen Disclaimer), Section 9 (Indemnification), Section 13 (Intellectual Property), Section 18 (Data Security Disclaimer), Section 20 (Governing Law), Section 21 (Dispute Resolution), this Section 22 (Survival), and any other provision that by its nature should survive.

1. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent possible, and the remaining provisions shall continue in full force and effect.
